POELLATH advises STAEDTLER Group on restructuring

Headed by the STAEDTLER Foundation, the Nuremberg-based stationery group STAEDTLER, has repositioned itself for the future. To this end, STAEDTLER has streamlined its corporate structure and converted its business operations to the legal form of a European Company (Societas Europaea, SE).

In addition to various other restructuring steps to simplify the Group structure (accruals, mergers, change of legal form), the core of the realignment was the so-called chain change of legal form of the legal successor of STAEDTLER Noris GmbH to STAEDTLER SE. Subsequently, the business operations of STAEDTLER Mars GmbH & Co. KG were converted to STAEDTLER SE by way of accrual.

STAEDTLER is Europe’s largest manufacturer of wood-cased pencils, markers and modeling compounds. STAEDTLER is also the global market leader for industrial plasticine. In view of STAEDTLER’s international orientation and the fact that 80% of sales are generated abroad, the restructuring will promote and consistently advance STAEDTLER’s strategic development in the best possible way.

POELLATH advised STAEDTLER comprehensively in the context of the restructuring with the following team on all aspects of corporate law, tax law, foundation law and labor law, as well as involving various correspondent law firms from the EU states in question on the employee participation procedure in the context of the formation of STAEDTLER SE:
