POELLATH advises management regarding MPP on sale of Apleona to PAI Partners

The French investment company PAI Partners bought the facility services provider Apleona in Neu-Isenburg from the Swedish investor EQT. The latter realized around EUR 1.6 billion with this transaction.

The former Apleona owner Bilfinger will receive more than EUR 200 million. The money comes from a profit-sharing agreement with the investor EQT, which had already acquired Bilfinger’s former facility management business in 2016 with its EQT VII fund and is now selling it.

The sale was prepared in a dual-track process. However, the intended IPO was unable to keep up with the pace of the bidding process. As a result, the bid was accepted relatively quickly after receipt of the initial bids.

The winning bidder, PAI Partners, was established in 2002 following the merger of Paribas and BNP. In the meantime, the fund, which also operates an office in Munich, finances itself independently of the major bank.

With its more than 20,000 employees, Apleona manages tens of thousands of buildings with offices in over 30 countries. The company offers its clients a comprehensive range of services aimed at, among other things, reducing energy consumption and CO2 emissions from buildings.

POELLATH advised the management of Apleona on the transaction regarding the implementation of a management participation model with the following Munich team:
